Terms & Conditions

These Terms & Conditions are intended to regulate the access and/or use of the Website and/or Mobile Application of Yonder Media Mobile, LLC (hereinafter “YO Mobile”, “We”, “Us” or “Our”), with address at 749 E135th St, Bronx NY, 10454, by you as a User (hereinafter “User”, “Users” or “You”).

The access and use of our Website and/or Mobile Application entails the express acceptance of these Terms & Conditions and the Service Agreement, acknowledging from this moment that you have read them in their entirety and that you desire to establish a contractual relationship with YO Mobile. These Terms & Conditions include essential information about our Services, terms regarding service plan changes, late payments, limitations of liability, privacy, and resolution of any disputes.

Under oath, you declare that on the date of contracting the services of YO Mobile and since the moment you use or access to the Website and/or Mobile Application, you are of legal age, you are domiciled in USA Territory, you have the legal capacity to enter into a contract and accept to comply with these Terms & Conditions.

1.  Services Offered.

The Services offered by YO Mobile will be those included and offered on the Website and/or Mobile Application. However, YO Mobile hereby reserves the right to modify the Services offered through the Website and/or Mobile Application, or to temporarily or permanently suspend such Services, by simply updating them, without prior notice. Each User should be aware of YO Mobile’s Services, promotions and subscriptions.

YO Mobile reserves the right to display historical data from previous measurements on the Website and/or Mobile Application; however, all information is provided without liability and any obligation for incorrect, incomplete or outdated information is excluded.

YO Mobile may change, at its discretion, the content of the subscription at any time without notice and may change the programs, content, prices, and amounts offered on the Website and/or Mobile Application.

Unless otherwise indicated, any applications submitted by you to participate in any event that YO Mobile makes available on the Website and/or Mobile Application (including the selection of the winner of the event) will not be considered part of the Services and will be governed by the terms of the respective event producers.

2.  Use of the Website and/or Mobile Application.

The items in the Menu bar of the Website and/or Mobile Application are provided solely to assist Users or potential Users in navigating through the Website and/or Mobile Application, and to advertise goods and services offered by YO Mobile.

You assume financial responsibility for using the Website and/or Mobile Application (as well as the use of your account by third parties, including, but not limited to, minors living with you). You agree to supervise the use of the Website and/or Mobile Application by minors signing in by using your name or account number.

You also warrant that all the information that you provided when using the Website and/or Mobile Application is accurate and correct, without limitation, false or fraudulent reservations. You agree that the reservations on the Website and/or Mobile Application shall be used only to make legitimate reservations or purchases for yourself or for another person who has legally authorized you to act on their behalf.

YO Mobile shall own all data related to the Website and/or Mobile Application. The data submitted may not be obtained or commercialized by any User.

3.  Users.

YO Mobile expressly reserves the right to accept or reject any registration request from any potential User, as well as to suspend the Services or delete the account of any User who fails to comply with these Terms & Conditions or our internal policies.

YO Mobile may suspend Services to any User without any liability if such User has committed illegal activities. YO Mobile may also cancel the Services to the User or Users who work for or are related to any company that provides the same or similar services as YO Mobile.

You will have the right to delete your account whenever you wish, giving advance notice to YO Mobile, for which YO Mobile must delete the information stored in our databases after confirmation of the elimination of your account.

4.  Registration.

The User's Registration will be free and will be through the Website and/or Mobile Application, expressly accepting YO Mobile’s Privacy Policy, for which the User must provide the following information:

a)   Personal data such as full name, gender, date of birth, current address, email address and cell phone number.

b)   Access credentials consisting of username and password to enter the Mobile Application.

YO Mobile will maintain, protect and use such information in accordance with our Privacy Policy (found on the Website and/or Mobile Application), for which you become aware of the contents and expressly adhere to when using the Services offered by YO Mobile within the Website and/or Mobile Application.

The User agrees to observe the following requirements and obligations during registration, as well as during the use of the Website and/or Mobile Application: (i) provide accurate and complete personal data at all times, (ii) keep the account information updated, (iii) be responsible for safekeeping and maintaining of your access credentials, (iv) not allow minors or other third parties to use the Website and/or Mobile Application without any supervision; as well as (v) comply with applicable laws and regulations.

You agree to confirm the truthfulness and accuracy of the information provided, considering null and void any contract in which you have provided false information. In cases where you have created an account with false information, you will be responsible for the consequences of such act.

You agree to use a secure and unique password to access the Website and/or Mobile Application, to use YO Mobile’s Services, and acknowledge that reusing passwords may result in others being able to access to your account. You are responsible for any use or misuse of your account or password. It is the User's obligation to immediately notify YO Mobile of any breach of confidentiality or unauthorized use of your information, login, or Services account.

YO Mobile undertakes to maintain the confidentiality of the information it receives from the User under the legal provisions applicable in the United States of America.

Each User can access their account simultaneously on different devices. There is no limit on the number of devices that can access to your account; however, the Services can only be used on one device at a time. Therefore, if the User is connected to multiple devices, the User will be notified through a message on the same device.

5.  Contracting Services or Products.

You may always use the Website and/or Mobile Application free of charge; however, there may be services and products within the Website and/or Mobile Application that are available for a fee, including telephony and network services (“YO Mobile’s Telephony and Data Services”).

Depending on the current promotions and your needs, you can purchase any additional product or service through the Website and/or Mobile Application.

In case of acquiring any function, service, or product with a cost, the User is obliged to pay the fees established for the same and to cancel it if they do not wish to continue with the services. If the User does not cancel their subscription or services, the charges will continue to be made, whether the User uses them or not. YO Mobile reserves the right to suspend the use and/or access to the Website and/or Mobile Application, the registration account, all additional services and YO Mobile’s Telephony and Data Services at any time.

The subscription term will be established at the time of purchase, depending on the type of subscription. Once the contracted time has elapsed, the subscription will be automatically renewed for equal periods unless the User cancels or changes the subscription plan, or if you no longer use the Services. YO Mobile can decide to suspend any service that has been contracted by the User under these Terms & Conditions.

YO Mobile reserves the right to change prices, make promotions for the benefit of the User, or any other action it deems necessary. Promotions, discounts or offers are not retroactive and will only apply at the time of the corresponding subscription at the times established in the same promotion.

By contracting any of  YO Mobile’s Telephony and Data Services within the Website and/or Mobile Application, as well as by clicking on the "accept" button, entering your payment details or contracting any telephone package offered by YO Mobile, you express your acceptance with these Terms & Conditions, recognizing from that moment that you have read them in their entirety and that it is your wish to establish a contractual relationship with YO Mobile and to be served in accordance with these Terms & Conditions.

5.1 Telephone and Data Services.

YO Mobile’s Services will be those included and offered on the Website and/or Mobile Application; however, YO Mobile reserves the right to modify Services offered through the Website and/or Mobile Application, or temporarily or permanently suspend such services, being sufficient to update them, without prior notice.

5.2 Payments and surcharges.

By contracting YO Mobile’s Services, you will be subject to a fee, and you agree to be bound by the terms and conditions imposed by that purchase, including but not limited to, the payment of all amounts in compliance with the rules and restrictions applicable to the availability of rates, products or services. You will be fully responsible for the charges, fees, tariffs, taxes and assessments that result from your subscription.

At the time of purchasing a subscription, the User accepts all responsibility for the payment of charges, whether they are one-time or monthly until you cancel or change the subscription.

Once you have acquired any Service, there will be no total or partial refund. The subscription is paid in advance per month, YO Mobile does not refund or returns of any of the payments made by you.

If any of the payments do not proceed, regardless of the reason, and YO Mobile does not receive the payment, the User agrees to pay all amounts owed when requested by YO Mobile and the Services will be suspended until the payment of the amounts owed.

YO Mobile may request the User to offer another payment method, and the User authorizes YO Mobile to charge all fees and other outstanding amounts in the different payment method given. ​

6.  Suspension of Services.

YO Mobile may suspend the use and/or access to the Website and/or Mobile Application, including any contracted Service through it, if the User does not use the Website and/or Mobile Application and its functions at least once every 15 (fifteen) days.

If the above occurs, YO Mobile will notify the User following these Terms & Conditions, advising that the User has not used the Website and/or Mobile Application and that, in case of continued non-use, the use of the Services may be suspended.

7.  Promotions.

YO Mobile may occasionally offer promotions, such as credits, discounts, or free services, at its sole discretion to selected groups of Users. These promotions are subject to the specific terms of the promotion, as well as any additional promotional terms that may be introduced. Any such offer is provided solely at YO Mobile’s discretion and can be modified or terminated without prior notice. Additionally, these promotions cannot be transferred, combined with other offers, or exchanged for cash or credit, as permitted by law. Similarly, any sweepstakes, contests, raffles, surveys, games, or related promotions will be governed by rules distinct from these Terms & Conditions. In case the promotion rules conflict with these Terms & Conditions, the promotion's specific rules will take precedence.

7.1 YO Mobile’s Events.

Unless otherwise stated, applications submitted by you, if any, to participate in any event YO Mobile makes available on the Website and/or Mobile Application (including the selection of any winner for the event) will not be considered part of the Services. The terms of the respective event will be governed by the corresponding terms and conditions.

8.  Cancellations.

The User may only cancel or change their subscription at the end of the subscription term. The cancellation or change will be activated after the contracted period ends, depending on the subscription plan.

The subscription can be cancelled and modified by email, and the User will receive an email as confirmation of the effective cancellation. If you do not receive such email, you may indicate that the cancellation was ineffective.

After cancellation, the User will not receive any further Services from YO Mobile, nor will have access to the Website and/or Mobile Application functions or receive any of the information provided by YO Mobile.

YO Mobile does not offer refunds, neither partial or credits on any subscription. Once the subscription has been cancelled and terminated, the User will not receive any further Services.

YO Mobile may cancel the subscription and, therefore, terminate the Services definitely and permanently, without the need for a judicial resolution, without prior notice, and following the terms of the Law and these Terms & Conditions, if the User incurs in any of the assumptions of illicit or impermissible use, or situations and/or analogous conduct of an abusive nature and/or commercial use.

The following are considered cases of unlawful or impermissible use, by way of example, but not limited to:

a)   Registering as a User by providing YO Mobile false, erroneous or inaccurate information;

b)   Carrying out any operation of an illegal nature, such as, but not limited to: sexual trafficking, child trafficking, human trafficking, money laundering, or terrorist financing. Concerning this particular point, the User accepts and declares that they do not carry out any of these activities and, therefore agrees with these Terms & Conditions and the Services Agreement at the time of contracting YO Mobile’s Services;

c)   The making of recharges, or attempting to make them, using fraudulent means of payment;

d)   The use of any device owned by the User that is not approved and compatible, or the use of the Services by the User that causes, or may cause, harmful interference or instability to the network, as well as damage or degradation of the quality of the Services provided to other Users;

e)   The use of the Services in a fraudulent, racist, criminal, illegal, excessive, or commercial manner, such as using switches or for the resale of the Services. In particular, the following are included within these uses:

1.   Wholesale sale of the Services.

2.   Use of the Services for commercial purposes, as resale.

3.   Use of the Services associated with any device that automatically or manually makes, receives, or diverts calls, such as “by-pass” or “SIM boxing”, among others.

f)    If the User makes racist comments, insults, defame, or any other conduct in violation of these Terms & Conditions, at the discretion of YO Mobile, through the Website and/or Mobile Application;

g)   Use of the Services associated with any device that automatically transmits or receives text messages (SMS), or establishes data connections, such as machine-to-machine (M2M) communication systems or GPS geolocation systems, among others;

h)   The use of the internet connection included in the Services, to share such connection with other devices that generate data traffic and that may affect the capacity or quality of the Services, such as the use of personal "hotspot" (tethering), among others;

i)    Any other practice of improper use of the Services that negatively affects YO Mobile’s operations, as well as techniques to circumvent or abuse the permitted benefits of using the Services, such as data tunneling on premium rate services (such as social networks), among others.

In addition, YO Mobile may suspend or permanently cease publishing the Website and/or Mobile Application in our best interests or due to the nature of our Services.

9.  Connection and Rules for Use of the Website and/or Mobile Application.

YO Mobile’s coverage only approximates our expected wireless coverage area outdoors; the actual service area, coverage, and quality may vary and change without notice (depending on various factors, including network capacity, terrain, and weather). Service cuts and interruptions may occur, and the speed of Service may vary. You agree that YO Mobile is not responsible for problems related to the availability or quality of the Services.

To take advantage of our Services, you must use a supported and compatible device to access YO Mobile’s network.

Some supported devices may not permit the use of an eSIM and/or SIM card; we invite you to verify if your device is compatible with the Service before acquiring it. Modems, bypasses, gateways, automated relay devices, and other devices used for commercial or re-direction purposes are not supported.

Failure to use a supported or compatible device when accessing the YO Mobile’s network will immediately terminate your Service.

YO Mobile does not assume responsibility for malfunctions caused by misuse or incorrect handling of the Website and/or Mobile Application. Certain functions, content or Services may not be available or may be different depending on the time, geographic location, device, account settings.

10.  Publicity Material.

You acknowledge and agree that YO Mobile may have sponsors and advertisers whose information, images, advertisements, and other materials (hereinafter referred to as "Advertising Material") may be posted on the Website and/or Mobile

Application. You acknowledge and agree that the Advertising Material is not part of the content the applicable Intellectual Property Laws.

YO Mobile confirms our corporate will carry out the best commercial practices; however, the information, images, advertisements, and/or any other material published by suppliers on the Website and/or Mobile Application shall be the sole responsibility of such suppliers. In the event of any disagreement by the User regarding such content, you should address it exclusively to the supplier in question.

Each User may, at their discretion, interact with the videos and various content within the Website and/or Mobile Application, and each User is responsible for the comments and interactions they make within those videos and/or content. YO MOBILE is not responsible for any offensive, racist, discriminatory or public disorder comments; however, YO Mobile reserves the right to delete comments or reactions that it may consider inappropriate.

11.  Children.

YO Mobile does not offer any Service to minors. By contracting our Services, you guarantee that you are at least 18 (eighteen) years of age and that you have the authority and legal capacity to enter into any agreement with YO Mobile in accordance with these Terms & Conditions.

You assume financial responsibility for using the Website and/or Mobile Application and the contracted Services (as well as the use by third parties, including, but not limited to, minors living with you). You agree to monitor the use of the Services and all YO Mobile’s products and additional services by minors using your name or account number. You also warrant that all the information that you or your family members provide when using the Services is true and correct, without limitation, false or fraudulent reservations.

12.  Exclusion of Liability.

YO Mobile is not responsible for the accuracy of your information, the security of your account, or the actions of third parties. You are responsible for keeping your account information secure. YO Mobile is not liable for losses related to Services or devices. YO Mobile is also not responsible for installing, maintaining, or providing technical support for Services or devices. YO Mobile is not liable for lost or deleted voicemails, messages (SMS), or information.

The user and YO Mobile agree to limit claims for damages to direct and actual damages. Neither party will seek indirect, special, consequential, treble, or punitive damages. This limitation applies to damages arising from unauthorized access or use of your account, Service, or device, including authentication or access to third-party accounts. YO Mobile’s liability for damages is limited to the amount the User paid for the Services three months before the claim arose. All claims must be brought within two years of the claim's date.

YO Mobile reserves the right to block access to or remove content that is abusive, defamatory, obscene, fraudulent, misleading, offensive, or violates intellectual property rights or these Terms & Conditions. For specific information about topics provided by YO Mobile or its suppliers, consult with them directly.

YO Mobile does not control or pre-censor content on the Website and/or Mobile Application. Therefore, YO Mobile is not responsible for content provided by independent providers or content independent to YO Mobile. All opinions, advice, statements, services, offers, or other information expressed or made publicly by third parties are those of their respective authors; YO Mobile assumes no responsibility. YO Mobile does not warrant the accuracy, truthfulness, completeness, or usefulness of any content provided by third parties. YO Mobile reserves the right to remove or modify content that does not comply with applicable standards or legal requirements.

The User acknowledges that activities carried out through the content published on the Website and/or Mobile Application, such as purchasing goods or interacting with third parties, are solely to the responsibility of the User and the supplier involved.

13.  About Third Parties.

YO Mobile’s Services may contain links to third-party content and integrations with external entities. YO Mobile does not operate, control, or endorse any third-party services. By using them, you acknowledge that you are solely responsible for your interactions with them. YO Mobile is not liable for any losses or damages arising from your use of these third-party services. The links and integrations are provided for convenience and advertising purposes only.

If the User access or use a third-party content or application through the Website and/or Mobile Application, the User understands that these entities may collect and use your personal information, including your location. By using these third-party services, you authorize YO Mobile and its network provider to share information related to your usage. It's essential to review the privacy policies of these third-party providers to understand how they handle your data. YO Mobile is not responsible for any technical issues or delays related to third-party content or applications nor for the content of any websites you may access through them.

You understand that YO Mobile is not responsible for the accuracy or the use of any information you receive from third parties. Although you use providers that you believe are reliable, YO Mobile make no warranty of the information provided by those third parties.

14.  Game Developers.

The activities carried out in the section called “YO Mobile Game Hub”, located within the Website and/or Mobile Application, are independent and are not part of the Services offered and provided by YO Mobile.

The User accepts that, the access to the Game Hub section is their complete and absolute responsibility. YO Mobile does not participate, nor promotes the information, rewards, or any activity that is generated in this section; therefore, the provisions of the Game Hub section are the absolute responsibility of the User and the generators of the content in question.

YO Mobile does not operate, control, support, or sponsor any game developer. Acceptance of any activity within these games results in a relationship solely and exclusively between the User and the developer, therefore, YO Mobile will not be responsible, nor will it respond in any way to any situation that may arise from the use of the Game Hub section.

YO Mobile is not responsible, nor controls in any way the content, issuance and/or use of Non-Fungible Tokens (also known as “NFTs”) that may be found on the developers' platforms. YO Mobile's responsibility is limited to linking the User with the content of the game developers and their products.

If the User has any disagreement with the game developers, they must report it and process it directly with the game developer. In this sense, the User accepts leaving YO Mobile harmless from any claim and/or contingency that may arise between the User and the game developer.

15.  Non-Fungible Tokens.

By accessing and using the Non-Fungible Tokens (“NFT”) creation function within the Website and/or Mobile Application, as well as by clicking on the "accept" button or by uploading a photo, video or any other content to the Website and/or Mobile Application, you entail your express acceptance of these Terms & Conditions.

To create a new NFT within the Website and/or the Mobile Application, the User must navigate in their personal profile. Subsequently, in the "image" or "video" tab, the User will be able to select the option to create an image or video and "add" their NFT. Once the User selects the "publish" option, the NFT is now minted and available in their profile.

Published NFTs will go through YO Mobile’s moderation, where someone from YO Mobile’s internal team will review the posted videos and images for NFT tags or any branding, as well as the content, to ensure that the User is not violating these Terms & Conditions, or YO Mobile's internal policies.

YO Mobile expressly reserves the right to accept or reject any NFT posting, as well as to suspend its Services or delete the account of any User who violates these Terms & Conditions, or YO Mobile’s internal policies.

15.1 Fees and Rates.

By creating an NFT within the Website and/or the Mobile Application, you agree to pay the applicable current commissions and all NFT Transactions, as established and made known to you, always if applicable.

15.2 NFT Intellectual Property.

By creating, purchasing or selling an NFT through the Website and/or Mobile Application, you represent and warrant that you own all legal rights, title and interest in and to all intellectual property rights and to all content, including NFTs, that you post, upload or submit through the Website and/or Mobile Application.

As a purchaser of an NFT, you are fully responsible for verifying the authenticity, legitimacy, and identity of any NFT you purchase on the Website and/or Mobile Application.

By using the Website and/or Mobile Application and uploading an NFT or other content, you grant YO Mobile a license to:

1.   Access, use, host, cache, copy, reproduce, transmit, display, publish, distribute, adapt and modify, but only to the extent necessary to be able to operate and provide the Services.

2.   Make your content available to others with whom YO Mobile has contractual relationships related to the provision of the Services.

If you sell an NFT, you agree that you will have no claim against YO Mobile for any breach by the purchaser.

YO Mobile may monitor NFTs and the content any User uploads to the Website and/or Mobile Application for any infringement of a third party's intellectual property rights. However, YO Mobile cannot undertake to review all content before it is posted on the Website and/or Mobile Application and cannot ensure removal of objectionable content after it has been posted.

YO Mobile assumes no responsibility for any action related to transmissions, communications or content provided by any User or third-party.

16.  Infringement of Intellectual Property or Copyright.

You agree not to infringe or misuse intellectual property rights belonging to YO Mobile or others. Purchasing YO Mobile’s Services does not give you the right to copy, modify, or resell intellectual property related to YO Mobile or any User. This property can only be used with YO Mobile’s Services unless YO Mobile allows the opposite. Violating these harms YO Mobile, and we may seek immediate legal action.

If you believe that content on the Website and/or Mobile Application has been copied illegally, you can notify our legal department. The notice should include: (i) identification of the work that has been infringed; (ii) description of the infringing material and where it is located on the Website and/or Mobile Application; (iii) your contact information, including address, phone number, and email; (iv) a statement that you believe the use of the material is not authorized; (v) a statement that the information is accurate and that you are the copyright owner or authorized to act on their behalf; and, (vi) a physical or electronic signature.

17.  General Conditions.

No general or specific condition you communicate to YO Mobile may be integrated into these Terms & Conditions. You cannot hold YO Mobile liable for any actions, proceedings, losses, claims, expenses, damages, or liabilities arising out of or resulting from the provision of the Services or products that YO Mobile offers, nor from the creation of NFTs creation function that YO Mobile offers as an additional and optional service on the Website and/or Mobile Application.

The failure of YO Mobile, its affiliates or suppliers to exercise any right or action under these Terms & Conditions shall at no time be construed as a waiver of such rights or actions.

YO Mobile may, at any time if it deems appropriate, assign all or part of its rights and obligations, subject to authorizations from the proper authorities. Under these Terms & Conditions, YO Mobile shall be released from any responsibility in favor of the User.

18.  Extraordinary Events.

You agree and acknowledge that YO Mobile is not liable for any loss caused directly or indirectly by extraordinary events or conditions beyond its control. Such events include but are not limited to, government actions, stock exchange or market decisions, and applicable trading suspensions.

19.  Security.

YO Mobile uses advanced security measures to protect your data. YO Mobile may use encryption and pseudonymization to enhance security. YO Mobile strives to ensure your data's confidentiality, integrity, and resilience. YO Mobile uses technology and security measures to protect your privacy and prevent unauthorized access to your information. YO Mobile does not disclose your information to third parties without your consent, except as required by law.

20.  Changes to these Terms & Conditions.

YO Mobile reserves the right to change these Terms & Conditions without notice. Changes will be effective immediately. You agree to accept all Terms & Conditions when using the Website and/or Mobile Application. You waive the right to claim ambiguities or errors. Please print a copy of these Terms & Conditions for your records. If you do not accept these Terms & Conditions, do not use the Website and/or Mobile Application.

YO Mobile may change any business policy, practice, and procedure. YO Mobile may change its Services, discounts, technologies, coverage, or other terms at any time. You agree to be bound by these changes. These Terms & Conditions are subject to change at any time, so please check the Website and/or Mobile Application for the most current version. Tax, regulatory fees, or assessments are not considered increases in Service fees.

If you do not accept this Terms & Conditions, we recommend that you do not contract any Service. If you do not fully and completely agree with any of these Terms & Conditions, you are not permitted to use the Website and/or Mobile Application, and you must refrain from accessing and using it.

21.  Revisions.

YO Mobile may periodically update these Terms & Conditions to reflect changes in our practices, technology, legal requirements, or for other reasons. When we make material changes to these Terms & Conditions, we will notify you by email at the primary email address associated with your account. The date of the most recent update will be displayed at the bottom of these Terms & Conditions.

We encourage you to review these Terms & Conditions regularly to stay informed about how our policies and Services terms. If you disagree with any terms in these Terms & Conditions, your sole remedy is to discontinue using the Website and/or the Mobile Application, as well as YO Mobile’s Services. Continued use of the Website and/or the Mobile Application after any updates constitutes your acceptance of the revised Terms & Conditions. 

22.  Applicable Law and Jurisdiction.

These Terms & Conditions and any dispute arising out of or in connection with them shall be governed by and construed per the laws of the State of New York.

23.  Class Action Waiver.

You agree that any legal proceedings, whether through arbitration or in court, will be handled individually only and not as part of a class action, group lawsuit, or representative action. This means that neither you nor any other User can serve as a class representative, join as a class member, or participate in any collective legal action against YO Mobile.

24.  Indemnification.
